Hall of Fame Resort & Entertainment Company Announces Induction Equity Grant

Canton, Ohio, March 23, 2022–(BUSINESS WIRE)–Hall of Fame Resort & Entertainment Company (“HOFV” or “The Company”) (NASDAQ:HOFV,HOFVW), is the only resort, entertainment and media company centered around professional football and the power of owner Hall of Fame Village, operated by Johnson Controls in Canton, Ohio, announced today that it has provided Benjamin Lee with 612,369 Restricted Stock Units (“RSUs”) to acknowledge his appointment as the Company’s Chief Financial Officer. . In respect of the company’s common stock, $0.0001 par value. The company also provided Rob Bohm as an inducement to accept his appointment as Executive Vice President of Gaming with HOF Village Newco LLC, 235,952 RSU. In addition, the company provided Holly Klaus as an inducement to accept her appointment as Director of Live Events Sales with HOF Village Newco LLC, 12,079 RSU. Grants pursuant to Mr. Lee’s employment agreement and Mr. Borm and Ms. Claus’ employment offers were given as incentive rewards and were not provided under the company’s revised 2020 Sarvagrahi Incentive Plan (“2020 Plan”), but as part of its are subject to largely the same terms and conditions as the 2020 plan. For each new employee, the grants, who are subject to award agreements, shall vest in one-third increments on the first, second and third anniversaries of the date of commencement of such new employee, subject to continuous service through each applicable vesting date. .
